Partneffilia.com Affiliate Program Terms and Conditions
Effective Date: August 22, 2025
This Affiliate Program Agreement ("Agreement") is made by and between Partneffilia.com ("Company," "we," "us") and you, the affiliate ("Affiliate," "you"), and sets forth the terms and conditions for your participation in the Partneffilia.com Affiliate Program ("Program").
By registering for and participating in the Program, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions of this Agreement. If you do not agree to these terms, you are not authorized to participate in the Program.
1. Definitions
1.1. "Affiliate": The individual or entity participating in the Program.
1.2. "Company": Partneffilia.com, the owner of the affiliate program.
1.3. "Affiliate Link": A unique tracking link provided by the Company to the Affiliate to track referrals.
1.4. "Qualified Purchase": A sale of the Company's products or services to a customer referred by the Affiliate, where the customer completes the purchase and payment in full, and such sale is not subject to a refund, chargeback, or fraudulent activity.
1.5. "Commission": The compensation the Affiliate earns for generating a Qualified Purchase.
1.6. "Website": The website operated by the Affiliate where they will place Affiliate Links.
2. Enrollment and Acceptance
To enroll in the Program, you must complete the affiliate application. We reserve the right to approve or reject any application in our sole and absolute discretion.[1] You will have no legal recourse against us for the rejection of your application.[1]
3. Affiliate Responsibilities and Obligations
3.1. Promotion: The Affiliate agrees to use their best efforts to promote the Company's products and services in a professional manner.[2]
3.2. Legal Compliance: The Affiliate must comply with all applicable laws, regulations, and ethical standards in their marketing activities.[2][3] This includes, but is not limited to, the Federal Trade Commission (FTC) guidelines.
3.3. FTC Disclosure (Crucial): It is mandatory to disclose the affiliate relationship clearly and conspicuously.[4][5] This disclosure must:
Be placed near any affiliate link or endorsement.[5]
Use simple and easy-to-understand language, such as "(paid link)," "#ad," or "As a Partneffilia.com affiliate, I earn from qualifying purchases."[6]
Be readily visible to the consumer before they click on the Affiliate Link.[7]
3.4. Prohibited Activities: The Affiliate shall not engage in any of the following activities:
Spam: Sending unsolicited emails or engaging in any form of spamming.
Misleading Claims: Making false, misleading, or unsubstantiated claims about the Company's products or services.[8]
PPC Bidding: Bidding on keywords containing the "Partneffilia.com" trademark or any variations thereof on any pay-per-click search engine without prior written consent.[9]
Harmful Content: Placing Affiliate Links on websites that contain defamatory, obscene, illegal, or otherwise objectionable content.[10]
Self-Referrals: Creating Affiliate Links for your own use or for the use of immediate family members.[8] Commissions will not be paid on such orders.
4. Company Rights and Obligations
4.1. Tracking: We will provide the Affiliate with unique Affiliate Links and access to a dashboard to track Qualified Purchases and earned Commissions.[11]
4.2. Support: We will provide marketing materials, such as banners and logos, to support the Affiliate's promotional efforts.[8]
4.3. Agreement Modification: We reserve the right to modify any of the terms and conditions in this Agreement at any time. We will provide a notice of any changes, and continued participation in the Program will constitute your acceptance of the changes.[9]
5. Commission and Payment
5.1. Commission Rate: The Affiliate will receive a commission, as specified in their affiliate dashboard, for each Qualified Purchase generated through their Affiliate Link.[9][11]
5.2. Payment Schedule: Commissions will be paid on a monthly basis, approximately 30 days after the end of the month in which they were earned, to account for any refunds or chargebacks.[1][9]
5.3. Minimum Payout: A minimum balance of [$50.00 USD] must be reached before a commission payment is issued.[12] Balances below this threshold will be carried over to the next payment period.
5.4. Payment Method: Payments will be made via [e.g., PayPal, Bank Transfer]. The Affiliate is responsible for any transaction fees.
5.5. Invalid Referrals: Transactions resulting in refunds, chargebacks, or identified as fraudulent will not be eligible for commission.[1]
6. Intellectual Property
The Company grants the Affiliate a non-exclusive, revocable right to use our logos, trademarks, and other brand assets solely for the purpose of promoting our products and services in accordance with this Agreement.[9][13] The Affiliate may not alter, modify, or misrepresent these assets in any way.
7. Term and Termination
This Agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party.[14][15] Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice. Upon termination, the Affiliate must immediately remove all Affiliate Links and Company-related content from their Website.
8. Limitation of Liability and Disclaimers
We make no express or implied warranties or representations with respect to the Program or any products sold through the Program.[15][16] We will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data, arising in connection with this Agreement or the Program.[15]
9. Indemnification
The Affiliate agrees to indemnify and hold harmless the Company and its employees, directors, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorney's fees, arising out of the Affiliate's breach of this Agreement or violation of any law.[9]
10. Miscellaneous
10.1. Relationship of Parties: The Affiliate is an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, or employment relationship between the parties.[11][15]
10.2. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law principles.[11]
10.3. Entire Agreement: This document represents the entire agreement between the Company and the Affiliate and supersedes all prior agreements and communications.
